Terms of Sale

Please read these terms of sale carefully.

You will be asked to expressly agree to these terms of sale before you place an order for the products from our website.

Interpretation

In these terms of sale “we” means Key2weight (and “us” and “our” will be construed accordingly);

“Buyer” means the individual or organisation who buys or agrees to buy the Services from us the supplier;

“Services” is the services that the Buyer agrees to buy from the Supplier;

“Consumer” shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977;

“Contract” is the contract between the Buyer and the Supplier for providing the Services which are under these Terms and Conditions;

“Supplier” is Key2weight, Durham, www.key2weight.com;

“Terms and Conditions” is the terms and conditions for the providing the services set out in this agreement;

“Website” means www.key2weight.com.

Conditions

The information contained in these Terms and Conditions shall not affect the Buyer’s statutory rights as a Consumer.

These Terms and Conditions shall apply to all contracts that provides Services by the Supplier to the Buyer and will take precedence over any other communication or documentation from the Buyer.

Any changes to these Terms and Conditions are not applicable unless agreed in writing by the Supplier.

Any complaints should be addressed to the Supplier’s address.

Order Process

Any orders for Services shall be deemed to be an offer by the Buyer to purchase Services in line with these Terms and Conditions and are subject to be accepted by the Supplier. The Supplier may decide not to accept an order for any reason;

The advertising of products on our website constitutes an “invitation to treat”, and your order for products constitutes a contractual offer. No contract will come into force between you and us unless and until we accept your order in accordance with the procedure detailed below:

You must complete the medical health discalimer. If you meet the criteria laid down in the health disclaimer and you have consulted your G.P, by clicking on the ‘confirm order’ button you agree to follow the terms of this declaration;

You must add any of the products you wish to purchase to your shopping cart, then proceed to checkout;

If you are a new customer you must create an account with us and log in; if you are an existing customer, you enter your log in details;

Once you are logged in you must confirm your order and your consent to these terms of sale, you will then be transferred to the Worldpay website to handle your payment;

The contract becomes binding when we accept your order and you receive a first acknowledgment via email, or we will confirm by email that we are unable to meet your order;

You must abide by all terms of conditions for any subsequent orders placed, and if there are any changes to the buyers health status this agreement will be terminated and the buyer must enter into a new agreement with Key2weight by informing us in writing and re-apply for the programme;

The only language in which we provide these terms of sale is English.

The Products

Key2weight sells online very low calorie meal replacement food packs and bars as a nutritionally complete diet. There are also some ancillary products available to buy online. The website provides information and support alongside the diet which the clients can access at their discretion.

Price and Payment

Prices for Products are quoted on the website.  The total purchase price will be displayed in the Buyer’s shopping cart prior to confirming the order; In addition to the price of the Products, you will have to pay a delivery charge, which will be as stated on the order form when you pay for the product;

Full payment must be made (upon submission of your order) and before products can be posted out.  We may withhold the Products and/or terminate this Contract if the payment is not received from you on time, in full, or in cleared funds;

The prices on the Site include any value added or sales taxes (where applicable);

Payment for all Products must be made through World Pay;

Prices for Products can be changed at any time, but changes will not affect contracts which have come into force;

If the payment is not paid on time or any payment is rejected or refused, the amount that is owed will be viewed as overdue and the Supplier will be entitled immediately to stop the provision of the appropriate Service and/or cancel the contract between us until payment has been received in full in cleared funds;

After the order is received the Supplier will receive an invoice with the delivery of the details, description and price for the Services provided;

The supplier reserves the right to withdraw the services from the website at any time;

The supplier reserves the right to update prices on the website, which cannot be guaranteed for any period of time. The supplier will endeavour to ensure prices are correct at the point at which the Buyer places an order on the website;

The supplier will not be liable to anyone for withdrawing the service from the website or for refusing to process an order.

Delivery Policy

The supplier will arrange for the products to be delivered to the address for delivery indicated in your order

The Supplier will begin to perform the Services of despatching goods within 48 hours of the order being confirmed. However, we cannot guarantee delivery by a particular date. We do however guarantee that unless there are exceptional circumstances all deliveries of products will be dispatched within 48 hours of the later of receipt of payment and the date of our order confirmation.

The Supplier will perform the Services with reasonable skill and care. However, where applicable, the Supplier can not guarantee that the Services will not be interrupted, secure or error-free or that any data generated, stored, transmitted or used via or in connection with the Services will be complete, accurate, secure, up to date, received or delivered correctly or at all. The Supplier may have to suspend the Services for repair, maintenance or improvement. If so, the Supplier will restore them as quickly as is reasonably possible.

Your Warranties

You warrant to us that:

  • you are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these terms of sale
  • the information provided in your order is accurate and complete
  • you will be able to accept delivery of the products
  • you are resident in England or Wales
  • you are at least 18 years of age

Risk and Ownership

The products will be at your risk from the time of delivery. Ownership of the products will only pass to you upon the later of: delivery of the products; andreceipt by us of the full payment of all sums due in respect of the products (including delivery charges). We will be entitled to recover payment for the products even where ownership has not passed to you

Age of Consent for use of Service

The Services may only be purchased by persons aged between 18 and 65 the Buyer will be asked when placing an order to declare that they are of the appropriate legal age to purchase the Services.

If the Supplier discovers that the Buyer is not legally entitled to order certain Services, the Supplier shall be entitled to cancel the order immediately, without notice.

Cancellation Policy

The Buyer has the right to cancel the Contract, by notice in writing, at any time before fourteen working days has passed from the day after the Contract was made.

Orders may be returned and will be refunded provided that a) the whole order is returned with 14 days of the date of dispatch and b) all items are unaltered / undamaged and fit for re-sale. The costs of delivery and return of the order are not refunded.

If you do not return the products we are entitled to recover them and charge you for the costs incurred.

If you are entitled to a refund it will be processed using the same method of payment used by you, this will be done as soon as possible or within 30 days of receiving your valid notice of cancellation.

Limitation of Liability

Except as may be implied by law where the Buyer is dealing as a Consumer, in the event of any breach of these Terms and Conditions by the Supplier the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the price of the Services and the Supplier shall under no circumstances be liable for any indirect, incidental or consequential loss or damage whatever.

Nothing in these Terms and Conditions shall exclude or limit the liability of you or the Supplier for death or personal injury resulting from the negligence of the Supplier or that of the Supplier’s agents or employees.

No waiver by the Supplier (whether express or implied) in enforcing any of its rights under this agreement shall prejudice its rights to do so in the future.

The Supplier shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire or failure of any communications, telecommunications or computer system, and the Supplier shall be entitled to a reasonable extension of its obligations.

If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction such provision shall be severed and the remainder of the provisions here of shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.

Changes to Terms and Conditions

The Supplier shall be entitled to alter these Terms and Conditions at any time but this right shall not affect the existing Terms and Conditions accepted by the Buyer upon making a purchase.

Any renewal of the Services will be subject to the Supplier’s then current Terms and Conditions.

Govering Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
